for the provision of informational and organizational services
and acceptance of requests to purchase works of art

1. General Provisions1.1. This Public Offer (hereinafter — the “Offer”) constitutes an official proposal of a natural person registered under the laws of the French Republic as a micro-entrepreneur, acting under the commercial name ZOLI gallery (hereinafter — the “Contractor”), to enter into an agreement on the terms set forth below with any natural or legal person (hereinafter — the “User”) using the website zoligallery.com.1.2. The User’s use of the Website constitutes full and unconditional acceptance of the terms of this Offer.
2. Subject of the Agreement2.1. The Contractor provides the User with informational and organizational services through the website zoligallery.com, including:-access to information about artists and their works of art;-access to a catalogue of works of art with the possibility to submit a request for their purchase;-organization of online exhibitions of works of art.2.2. The Contractor is not the seller of the works of art.The Contractor exclusively represents artists, promotes their works, and accepts requests for purchase.2.3. The contract for the sale and purchase of a work of art is concluded directly between the User and the respective Artist.
3. Procedure for Submitting Requests and Payment3.1. To submit a request, the User completes the relevant form on the Website or uses the contact details indicated on the Website.3.2. The price of a specific work of art is indicated on the description page of the work or communicated to the User in response to the User’s request.3.3. Payment for the work of art is made directly to the Artist, unless otherwise agreed by the parties.3.4. The Contractor shall not be liable for the activities of payment systems and is not a party to payment transactions between the User and the Artist.
4. Delivery and Returns4.1. The terms of delivery of a work of art are agreed separately between the User and the Artist.4.2. The Contractor may provide organizational assistance with delivery but shall not be liable for the actions of logistics companies.4.3. The terms of return of works of art are determined individually between the User and the Artist in accordance with applicable law and/or norms of private international law.
5. Intellectual Property Rights5.1. All materials размещені on the Website, including texts, photographs, videos, and graphics, are objects of copyright.5.2. Rights to works of art belong to their respective authors.The Contractor publishes and promotes such works based on agreements with the artists.5.3. Copying, distribution, or other use of Website materials without the written consent of the Contractor or the respective author is prohibited.
6. Personal Data and Confidentiality6.1. The Contractor processes the User’s personal data in accordance with the Privacy Policy posted on the Website.6.2. The User consents to the processing of their personal data for the performance of this Offer.
7. Liability of the Parties7.1. The Contractor shall not be liable for:-acts or omissions of third parties;-possible losses incurred by the User as a result of the use or inability to use the Website;-delays in delivery caused by logistics or customs procedures;-the quality, authenticity, or condition of works of art sold by Artists.7.2. The User guarantees the accuracy of the data provided when submitting a request.
8. Final Provisions8.1. The Contractor reserves the right to amend the terms of this Offer by publishing a new version on the Website.8.2. All disputes and disagreements shall be resolved through negotiations, and if this is not possible — in accordance with the laws of the French Republic or by international arbitration, if agreed by the parties.
